Terms of Service

The Service

ModelRouters provides an OpenAI-compatible gateway, optional persistent memory, bring-your-own-key routing, and access to hosted models using prepaid credits. You are responsible for keeping your ModelRouters key and connected provider credentials secure; usage authenticated to your account is your responsibility.

Accounts & eligibility

You must be at least 18 years old and provide accurate account information. You are responsible for all activity under your account. One person or entity may not operate multiple accounts to evade limits, billing, or enforcement.

Billing

Routing requests to a provider using your own key is free from ModelRouters; your provider may charge you under its own terms. Persistent memory and encrypted saved chats are an optional bundle with a regular price of $6/month, currently offered at a $3/month launch-sale price and billed through Stripe. Eligible first-time accounts may activate one 30-day free trial without providing a payment card. The trial expires automatically and does not create a charge or paid subscription. Continued access requires a separate Stripe subscription, which renews automatically each month at the price shown during checkout until canceled. Hosted model usage consumes prepaid credits at the displayed rate. Credit purchases include a top-up fee disclosed before payment; the fee is not added to the user's credit balance. Except where required by law, payments and consumed credits are non-refundable.

Bring-your-own provider keys

By connecting a provider key, you authorize ModelRouters to store it encrypted, decrypt it transiently, and send it with your requests to the endpoint you configure. You remain bound by that provider’s terms and are responsible for its charges. We recommend creating a dedicated key with the narrowest available models, spend limits, and permissions; ModelRouters cannot enforce restrictions that your provider does not support.

Memory and saved content

Purchasing the memory and saved chats bundle activates both features and authorizes the Service to process and retain encrypted conversation content, derived facts and summaries, and retrieval embeddings as described in the Privacy Policy. You also authorize the transient processing of relevant conversation excerpts by our contracted AI model and embedding providers for memory extraction and retrieval. You may disable either feature and manage or delete supported stored content from the product.

Acceptable use

You agree not to use the Service to:

• Violate any law or the rights of others.
• Generate or distribute content that sexually exploits minors, or that facilitates violence, harassment, or fraud.
• Attempt to disrupt, overload, reverse-engineer, or gain unauthorized access to the Service or its infrastructure.
• Resell or redistribute raw API access in a way that circumvents per-account limits without our written consent.

You are responsible for the prompts you submit and the outputs you use. Model outputs may be inaccurate; do not rely on them as professional advice.

Rate limits & availability

We may apply rate limits, prioritize paid traffic, and modify or discontinue features to maintain reliability. The Service is provided on an “as is” and “as available” basis without warranties of any kind.

Suspension

We may suspend or terminate accounts that violate these Terms, abuse the Service, or create risk or legal exposure for us or other users.

Limitation of liability

To the maximum extent permitted by law, Complex AI, Inc. will not be liable for any indirect, incidental, or consequential damages, or for lost profits or data, arising from your use of the Service. Our total liability for any claim is limited to the amount you paid us in the three months preceding the claim.

Changes

We may update these Terms from time to time. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
